In these terms and conditions: "site" means our web site, being our presence on the world wide web, (URL address www.ceridian.co.uk) and "our", "we" or "us" means Ceridian Ltd, Unit 6, Londsdale Road, Limerick Technology Park, Limerick a limited company registered in Ireland with Registered Number 107507 and includes our officers, employees and authorised agents; and "you" and "your" means any person using our site.

We may terminate your registration immediately if you are in breach of any of these terms and conditions or in the event that our agreement with your employer terminates for whatever reason. You may terminate your registration at any time by notifying your Ceridian administrator who will then remove your access rights to our site.

Any rights which have accrued to either of us at the date of termination will remain enforceable after termination. Termination will not affect any agreements you have entered into through the site with third parties. (However, certain of those agreements may themselves provide for a right of termination upon termination of your registration for any reason).

10. Third party rights

These terms are only enforceable by both of us. Except as aforesaid, any rights of any person to enforce these terms pursuant to the Contracts (Rights of Third Parties) Act 1999 are excluded.

11. Changes

We reserve the right at any time without notice to revise the content of our site (including the services offered by us) and these terms and conditions. Any changes to these terms and conditions will be posted on our site and by continuing to use our site following any such change you will signify that you agree to be bound by the revised terms and conditions of use.

14. Events beyond our control

We shall not be liable to you for any breach of these terms and conditions of use or any failure to provide or delay in providing our services through our site resulting from any event or circumstance beyond our reasonable control including, without limitation, strikes, lock outs and other industrial disputes, breakdown of systems or network access, fire, explosion or accident.

15. Complete Agreement

These terms and conditions (including our Privacy Policy) contain all the terms which govern your use of our site. Any services which you agree to purchase from us using this website will be subject to separate terms and conditions notified to you when we receive your order.

16. Applicable law and jurisdiction

These terms and conditions (and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to these terms and conditions or their formation) shall be governed and construed in accordance with Irish Law and any disputes arising in relation thereto shall fall within the exclusive jurisdiction of the Irish courts.

We do not guarantee that our site will be compatible with all hardware and software which may be used by visitors to our site. We will not be liable to you for damage to your computer equipment, software, data or other materials caused by you accessing our site, or your downloading of any materials, data, text or images or for any damage caused by viruses that may affect your computer equipment.
